For many eligible owners, the relevant duty-liability period ends on 1 November 2026. The relief is conditional and does not automatically exempt an ordinary pharmacy sale.

Published 22 October 2026. General information for Queensland pharmacy owners, buyers and advisers.

What changed on 20 October 2026?

QRO issued Public Ruling DA000.19.3 on 20 October 2026, following approval of changes to the administrative arrangement on 19 October. QRO announced the update on 21 October. The ruling took effect on issue and replaced DA000.19.2; it explains how the Commissioner administers relief from transfer duty, landholder duty and corporate trustee duty for qualifying compliance transactions. It is an administrative arrangement and ruling, rather than a new general duty exemption enacted for all pharmacy transactions.

The revision clarifies existing conditions and provides additional paths for an interest to move to a new holder, for a business to move to a newly formed company or trust in limited circumstances, and for interests across a large pharmacy group to be redistributed with the Commissioner’s approval. The details and evidence matter.

Which pharmacy businesses and dates are covered?

The business must have been carried on under the former pharmacy ownership law immediately before the new Act’s relevant commencement on 1 November 2025. The transaction must predominantly serve compliance with the new ownership and interest rules; other purposes may only be minor or incidental. The duty liability must arise on or after 2025年1月1日 and during the applicable period.

If the owner immediately before 1 November 2025 was an eligible person under the new Act, the relevant period ends on 1 November 2026.

Otherwise, the ruling provides a period ending on 1 November 2027. Do not assume the later date applies without checking the original owner’s status.

The timing test concerns when liability for duty arises. Signing, completion and lodgment dates may differ, so confirm the relevant liability date before committing to a restructure.

The deadline is close for the first group. An application made later does not, by itself, change when duty liability arose. The Pharmacy Business Ownership Act 2024 governs ownership compliance; the QRO ruling governs the stated duty arrangement.

Can a new pharmacist or company acquire an exiting owner’s interest?

Potentially. Under paragraph 17 of the revised ruling, an individual or corporation that held no pre-commencement interest may acquire an exiting holder’s interest where that exit is necessary for compliance, existing interest holders cannot acquire it, the new holder takes no more than the exiting holder’s interest, and continuing holders’ aggregate interests are not reduced. This is a fact-sensitive exception, not a blanket concession for a new purchaser.

例子： A pharmacist must leave an existing ownership group to meet the new limits, while the remaining owners cannot finance the buyout. A proposed outside pharmacist may fit the exception if the entire set of conditions is documented. The sale contract alone does not prove that the duty exemption applies.

What about moving the business into a new trust or company?

Paragraph 18 allows a newly introduced company or trustee to acquire interests in a narrower restructuring scenario involving an original corporate or trustee owner. A pre-commencement individual interest holder must retain the required proportion and value through the new structure, and the other detailed conditions must be met. Paragraph 19 also sets out specified departures from the general rule that the direct ownership structure continues, including some trust and partnership reorganisations.

A business should map the owners, shareholders, trustees and beneficiaries before and after each step, as well as the value and proportion of each interest. A simultaneous change to a separate service entity is not covered merely because it happens alongside the pharmacy restructure; the ruling expressly excludes that kind of structural change from the pharmacy-business relief.

Does the ruling help groups with more than 10 pharmacies?

A group of more than 10 eligible pharmacies operated together or owned in a group structure before 1 November 2025 may seek the Commissioner’s discretion for a redistribution of interests. Relief can be considered even where certain ordinary continuity or structure conditions cannot be met. The group must show why those conditions cannot be satisfied, how the transactions are essential for compliance, and how the owners’ post-redistribution interests reflect their prior interests as closely as possible. This is a discretionary assessment, not automatic approval.

How should an owner apply?

Identify each dutiable transaction and its liability date, the pre-1 November 2025 ownership and interest chain, and the specific ownership rule that requires change.

Document the purpose of the whole arrangement, why an existing holder cannot buy an exiting interest where a new holder is proposed, and the before-and-after proportions and values.

Complete QRO’s Form D2.2 dutiable transaction statement and send the exemption application to duties@treasury.qld.gov.au with the evidence QRO requires. Large-group redistributions need an additional submission addressing the ruling’s paragraph 25 matters.

Check pharmacy-ownership approval and notification requirements separately with the Queensland Pharmacy Business Ownership Council. QRO’s duty assessment does not itself certify compliance with the ownership Act.

For a transaction approaching 1 November 2026, obtain transaction-specific legal and duty advice promptly, especially if an agreement or transfer will create the duty liability before the restructure is fully documented. Other tax, financing, lease and regulatory consequences may also need separate review.

Need advice on a pharmacy ownership transaction?

Ensure Legal can help assess the transaction documents, ownership structure and Queensland duty pathway. Contact our team with the proposed steps and key dates.
