Selling a business in Brisbane involves more than agreeing a price. The contract, lease position and completion documents need to reflect what the buyer will receive and what the seller must deliver.

Prepare the sale before a buyer signs

We help sellers identify the sale assets, excluded property, stock treatment, handover obligations and conditions that may affect timing. A clear document set can make buyer enquiries and negotiations more focused.

Contract and settlement support

  • Draft or review the sale agreement, special conditions, warranties and restraint provisions
  • Align the business sale with a lease assignment or new lease and landlord consent
  • Address secured assets, PPSR releases and any third-party approvals
  • Plan adjustments, stocktake, completion documents and handover

A buyer may request information about the business before committing. Our business due diligence page explains that process from the buyer’s perspective. For lease issues, see our lease assignment service.

Frequently asked questions

When should I involve a lawyer?

Before circulation or signature of a sale agreement is useful, particularly if lease consent, finance, licences or a franchise arrangement may affect the timetable.

Will I be released from the premises lease?

That depends on the lease, the landlord’s consent and the assignment documents. The seller’s continuing liability should be checked expressly.

For an overview of both sides of the transaction, read Business Purchases & Sales. Buying instead? See our business purchase service.
